Baker Hughes is selling its Waygate Technologies nondestructive testing business to Hexagon in an all-cash transaction for approximately $1.45 billion. The companies announced the deal on 13 April.
Included in the sale are Waygate Technologies’ remote visual inspection, ultrasound, radiography, and imaging solutions portfolios, and all assets of the business, including intellectual property, footprint, and resources.
Waygate Technologies was launched as a brand in January 2020, rebranding the former GE Inspection Technologies (GEIT) after GE’s exit from Baker Hughes. GEIT originally joined Baker Hughes in 2017, when GE merged its oil and gas operations with Baker Hughes. Waygate remained part of Baker Hughes following GE’s divestment of its controlling stake in 2019.
Baker Hughes said this divestiture, alongside three recently completed transactions and the pending acquisition of Chart Industries, demonstrates its dedication to strategic, value-driven portfolio management.
Stockholm-based Hexagon said the acquisition would establish the company as a leading global provider of NDT solutions and broaden its reach into the maintenance, repair, and operations market.
During a conference call, Hexagon President and CEO Anders Svensson called the acquisition a natural next step for the company.
“It completes the measurement chain, from the surface where we have been always strong with our metrology solutions, to also now the insight of the components or products,” he said.
In a press release, Hexagon said the acquisition expands its Manufacturing Intelligence business into NDT and plans to improve Waygate’s margins through operational efficiencies and localized manufacturing across the combined customer base.
The transaction is subject to customary conditions, including regulatory approvals, and is expected to close in the second half of 2026.
